Anthropic, the artificial intelligence company behind the Claude chatbot, announced on June 1, 2026, that it has confidentially submitted a draft registration statement on Form S-1 to the U.S. Securities and Exchange Commission (SEC) for a proposed initial public offering (IPO) of its common stock.
This move positions the San Francisco-based company for a potential landmark debut in the public markets. The confidential nature of the filing means that the specific details of the S-1 are not yet publicly available, with Anthropic only announcing the submission itself.
The filing follows a period of significant growth and substantial fundraising for Anthropic. In late May, the company secured $65 billion in a Series H funding round, which valued the company at $965 billion post-money. This valuation reportedly positions Anthropic as the world’s most valuable AI startup, surpassing its rival OpenAI. Just months prior, in February 2026, Anthropic had raised $30 billion in Series G funding, achieving a post-money valuation of $380 billion.
According to Anthropic’s Chief Financial Officer, Krishna Rao, the company is experiencing “historic demand.” In a blog post regarding the Series H funding, Rao stated, “Claude is increasingly indispensable to our growing global community of customers, and we work tirelessly to make tools like Claude Code and Cowork more helpful, more powerful, and more adaptable to their needs.” He added that the funding would help the company “serve the historic demand we are experiencing, stay at the research frontier, and bring Claude to more of the places where work happens.”
Anthropic’s financial performance has seen rapid expansion, with its run-rate revenue crossing $47 billion earlier in May. This figure reflects a significant increase from $14 billion in February, indicating growth of over 10 times annually for three consecutive years.
The confidential IPO filing underscores a competitive landscape in the AI sector, as Anthropic and OpenAI are noted to be in a “race to IPO.” The proposed offering is anticipated to serve as a crucial test for investor interest in the rapidly evolving artificial intelligence industry.
